A shared drive with a folder structure is a filing system, not a contract management system. When a contract goes into a folder, the company's ability to act on it depends entirely on someone's memory.
CLM software changes the contract from a document into a managed record. The system knows when it renews, what obligations it creates, who approved it, and which counterparty it binds. Legal teams search across contracts by counterparty, clause type, or expiry date in seconds rather than downloading and opening files one by one.

The form is configured per contract type: an NDA intake captures counterparty and signatory details; a supplier agreement captures vendor category, commercial value, and payment terms. Routing is automated by contract type and deal value, with SLA tracking that flags requests exceeding the target review time before they become escalations.
02Template library and clause management
Approved templates for NDA, MSA, SOW, supplier, employment, and partnership agreements, versioned so existing contracts retain a reference to the version they were created from. Clause libraries provide pre-approved alternatives tagged by risk rating (preferred, acceptable, escalate). AI clause extraction identifies clause types in third-party paper contracts and maps them to your library, accelerating review of counterparty-drafted agreements.

03AI-assisted contract drafting
For contracts started from templates, AI populates standard variable clauses from the intake metadata, payment terms, liability caps, governing law, so the first draft needs only deal-specific review. For third-party paper, NER models extract clause types and map them to your standard taxonomy, showing a clause-by-clause comparison. The AI suggests approved fallback language within your playbook's guardrails; every suggestion requires lawyer review before it reaches the counterparty.

04Approval workflow and version management
Approval routing configured per contract type and value threshold, adjustable without code changes as policy evolves. Reviewers redline and approve within the CLM; version comparison with diff highlighting shows exactly what changed between drafts. E-signature integration routes the approved final version to signatories and returns the executed document to the repository automatically, with GDPR retention and legal-hold workflows applied to the record.

05Obligation management and key date alerts
Renewal dates, notice periods, termination windows, payment milestones, and performance obligations are stored as discrete records with an owner, an alert lead time, and an escalation path. The system distinguishes the alert date from the action-required date, so a 90-day notice period fires its alert with enough runway to actually act, not on the deadline itself. Unanswered alerts escalate automatically to the owner's manager.
06Contract analytics and counterparty reporting
Renewal pipeline by value tier and decision status; counterparty exposure showing committed spend or revenue concentration across the top counterparties; clause negotiation analytics showing which standard positions get contested most often. Cycle-time reporting identifies where delays accumulate by contract type and reviewer. Full-text search across the portfolio and exports to your BI tool for board-level reporting.
